Terms of Service

1. Acceptance of Terms

By accessing or using the Spillbeans platform (“The Service”), you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you agree to these Terms for that organization.

2. Design Partner Status (Alpha/Beta)

The Service is currently in a “Design Partner” phase. You acknowledge that the Service is provided “as-is” and “as-available.” While we strive for 100% uptime, Spillbeans is not liable for interruptions during this developmental stage.

3. Intellectual Property

All software, “Evidence Engine” logic, and Active Protocol frameworks remain the exclusive property of Spillbeans. Users are granted a limited, non-transferable license to use the platform for internal operational verification only.

4. Data Usage & Evidence

The Service relies on the collection of photographic, GPS, and timestamp evidence. By using the Service, you warrant that you have the necessary permissions from your staff and stakeholders to collect this operational data for business integrity purposes.

5. Limitation of Liability & Nominal Cap

To the maximum extent permitted by law, Spillbeans’ total cumulative liability for any claim shall not exceed the lesser of: (i) the total fees paid by you in the three (3) months preceding the claim, or (ii) HKD $1,000. During the “Design Partner” or unpaid phase, our total liability is strictly HKD $0.00.

6. Data Integrity & Accuracy

Spillbeans provides the infrastructure for operational verification. We are not responsible for the accuracy of data, photos, or logs uploaded by your personnel. The “Evidence Engine” is a tool for transparency; the ultimate verification of frontline honesty remains a management responsibility.

7. Limitation of Data Loss

While we employ industry-standard backups, Spillbeans is not liable for the loss of operational data due to technical failure, transmission errors, or unauthorized access. Users are encouraged to export critical compliance reports regularly.

8. Force Majeure & Regional Disruptions

Spillbeans is not liable for failures or delays caused by events beyond our control, including but not limited to: regional internet outages, changes in cross-border data regulations, or disruptions to telecommunications infrastructure within the Greater Bay Area.

9. Indemnification

You agree to indemnify and hold harmless Spillbeans and its founders from any claims, damages, or legal fees arising out of your use of the Service, your violation of these Terms, or any data uploaded by your personnel.

10. Ownership of Aggregated Data

Spillbeans owns all anonymized, aggregated data derived from the Service. We may use this to improve our algorithms and provide industry benchmarks, provided it does not identify you or your individual staff.

11. Limitation on Time to File Claims

Any cause of action arising out of or related to the Service must commence within one (1) year after the cause of action accrues. Otherwise, such cause of action is permanently barred.

12. Governing Law

These terms are governed by the laws of the Hong Kong Special Administrative Region. Any disputes shall be subject to the exclusive jurisdiction of the courts of Hong Kong.

13. Language Prevalence

In the event of any discrepancy or inconsistency between the English version and any translated version of these terms, the English version shall prevail.
